Terms of Service

Effective: July 19, 2026

These Terms of Service ("Terms") govern your access to and use of Sortly (the "Service"), operated by Sortly Inc. ("Sortly," "we," "our," or "us"). By using Sortly you agree to these Terms.

1. Eligibility

You must be at least 13 years old (16 in the EU/UK) and legally capable of entering into a contract to use Sortly. You are responsible for maintaining the confidentiality of your account credentials.

2. Description of the Service

Sortly helps you organise files in third-party storage services (currently Google Drive) using AI-generated suggestions. You authorise Sortly to read your files’ metadata and, unless you opt out, their content, in order to generate descriptions and organisation proposals.

3. Your files & safety guarantees

Sortly never permanently deletes your files. "Move" operations use Drive’s native API; the "trash" action places files in your Drive’s Trash (recoverable per Google’s defaults). You retain ownership of all your files and content at all times.

4. Credits & billing

Sortly operates on a credit-based system. Credits are purchased in packs via Stripe, do not expire, and are non-transferable. A credit is consumed when an operation is attempted, and all purchases are final — see our Refund Policy. Prices may change with 30 days’ notice.

5. Acceptable use

You agree not to use Sortly to organise or process content that is illegal, infringes third-party rights, or violates our Acceptable Use Policy.

6. Third-party services

Sortly integrates with Google Drive and Stripe. Their respective terms and privacy policies also apply. We are not responsible for outages or actions of third-party providers.

7. Termination

You may delete your account at any time from Settings. We may suspend or terminate accounts for violations of these Terms. Unused credits are forfeited on account deletion and are not refunded, except where required by law.

8. Warranty disclaimer

Sortly is provided "as is". While we take great care to preserve your files, we do not warrant that AI suggestions will always be accurate. You are responsible for reviewing dry-run plans before approving execution.

9. Limitation of liability

To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Service is limited to the greater of $100 or the amount you paid Sortly in the 12 months preceding the claim.

10. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced via email or in-app notice at least 30 days before they take effect.

11. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.
